CSR-1 FILING

As a Corporate Organisation is considered as a valuable member of the Society, interpreted from the term “Corporate Citizenship”, has defined responsibilities like any other citizen of the country. Those responsibilities are intended to make the company or corporate be conscious of their economic, social and environmental impacts on the society.

Hence all Corporates dedicate a considerable sum of money for their CSR (Corporate Social Responsibility) Activities.

As per recent amendments to the Companies (Corporate Social Responsibility Policy) Rules, 2014, a company can undertake CSR activities either by itself or the entities defined under the Rule 4, Sub Rule 1 of Companies Amendment Rules, 2021.

Also, these entities before undertaking CSR Activities should mandatorily register with the Central Government by filling the e-Form CSR-1. This system was put in place by the Ministry of Corporate Affairs (MCA) to precisely monitor and regulate the CSR expenditure in the country.

LIST OF ENTITIES DEFINED UNDER THE COMPANIES AMENDMENT RULES, 2021

  • Company established under Section 8, exempted under sub-clauses (iv), (v), (vi) or (via) of clause (23C) of Section 10 and approved under Section 80G of the Income Tax Act, 1961.
  • Company established under Section 8, registered under Section 12A and approved under Section 80G of the Income Tax Act, 1961.
  • Registered public trust, exempted under sub-clauses (iv), (v), (vi) or (via) of clause (23C) of Section 10 and approved under Section 80G of the Income Tax Act,1961.
  • Registered trust, registered under Section 12A and approved under section 80G of the Income Tax Act, 1961.
  • Registered society, exempted under sub-clauses (iv), (v), (vi) or (via) of clause (23C) of Section 10 and approved under Section 80G of the Income Tax Act, 1961.
    Registered society, registered under Section 12A and approved under Section 80G of the Income Tax Act, 1961.
  • Company established under Section 8 or registered Trust or registered Society established by the Central Government or State Government.
  • Entity established under an Act of Parliament or State Legislature.
MANDATORY REQUIREMENTS

FOR FILING THE CSR-1 E-FORM.

  • CIN Number of the Entity or the Company/Group of Companies that established the entity.
  • Note: If the Entity is an Independent Organisation, a track record of 3 years of undertaking similar activities is expected to perform CSR Activities.
  • PAN Number of the Entity.
  • PAN and DIN details of the Directors/ Board of Trustees/ Chairman/ CEO/ Secretary/ Authorized Representatives of the entity.

Documents to be Attached.

  • A copy of Registration Certificate of the Entity
  • A copy of PAN Document of the Entity.

DETAILS OF THE SIGNATORY

The CSR-1 Form should be signed by authorized personnel appointed by the entity. This should by furnished with further details including the Serial Number and the Date of Board Resolution authorizing the signatory for signing and filing the e-Form.

Most importantly the e-Form should be verified and certified by a Practicing Professional (in whole-time practice) who may by a

  • Charted Accountant
  • Company Secretary
  • Cost Accountant

The Membership Number and the Certificate of Practice Number of the Practicing Professional is mandatory to check the validity of the Certification.

SUBMISSION OF THE E-FORM

SUCCESSFUL SUBMISSION OF THE E-FORM.

Upon furnishing all the details and successfully submitting the CSR-1 e-Form an SRN (Service Request Number) will be generated and given to the user which can be used for future reference.

After the CSR-1 e-Form is processed, an acknowledgement is sent to the user as well as the registered email ID of the entity.

Upon approval, a digitally signed CSR approval letter with the CSR Registration Number is sent to the user and the registered email ID of the entity.

Note: The MCA adopts a STP (Straight Through Process) to approve the e-Forms including the CSR-1 Form where there is no manual intervention in the approval process. Hence it is advisable to furnish all the necessary details and documents without any discrepancy to avoid rejection of the request.
